Biography

Andy Stamelman is a corporate and tax partner at Sherman Atlas where he chairs the firm’s Corporate and Tax Departments and co-chairs the firm’s Estate Planning and Estate Administration Department.
Focusing his practice on estate planning, estate administration, business counseling, corporate transactions, partnership tax and real estate ventures, for over thirty years Andy has assisted individuals, fiduciaries, entrepreneurs, business owners, family offices and middle market companies with their business and legal needs.

Andy’s familiarity with a wide range of estate planning tools and techniques allows him to craft comprehensive estate planning arrangements designed to help clients achieve their personal goals while transferring wealth to successive generations in a tax advantageous manner. Andy’s strong tax background and sophisticated estate planning practice enable him to more efficiently counsel middle market companies and closely-held businesses on a variety of philanthropic, general business and transactional matters. He regularly advises business owners, family offices and private companies on a host of legal and structural issues related to start-up, financing, growth and exit strategies. This includes work in connection with the formation and structuring of business entities, joint ventures, shareholder, partnership and operating agreements, executive compensation, commercial contracts, mergers, acquisitions, dispositions, and family and management succession planning. He is a trusted business advisor to many real estate entrepreneurs and their families who rely on his expertise for help with estate and multi-generational family planning issues, including advice on partnership tax, 1031 and other tax-deferred exchanges and entity planning. In all facets of his practice, Andy works relentlessly on behalf of his clients to devise and document comprehensive legal and business solutions that address a client’s particular situation and unique business concerns. He understands that every client is different and that estate and business planning is personal and requires care and sensitivity to the various family and business dynamics at play.

Consistently ranked as a leading business lawyer by Chambers USA, Andy has been singled out for his corporate and tax work and praised as being “knowledgeable, practical, forward-thinking and easy to get along with.” His peers refer to him as “really, really smart,” and clients have noted that he is “a great listener with a sophisticated style and practical perspective.” Andy frequently lectures on corporate, tax and estate planning topics before numerous professional associations of attorneys, accountants and insurance advisors.

In addition to his work at the firm, Andy is actively involved in the local, regional and international community. For 5 years he served as an Adjunct Professor of Law at Cornell Law School where he taught an Estate Planning Clinic and has served as a judge at the Cornell Law School Transactional Lawyering Competition.  Andy is a founding trustee and an executive committee member of the Tikva Children’s Home in Odessa, Ukraine, as well as a trustee of The Nicholas J. and Anna K. Bouras Foundation, and The Elizabeth and Barets O. Benjamin Charitable Foundation. Andy has served for many years on the executive committee and as trustee of the Jewish Federation of Greater MetroWest, and the Jewish Community Foundation of Greater MetroWest, where he served a three-year stint as its President.

Andy co-founded Sherman Atlas in 2014. He previously headed the Corporate and Tax groups at Riker Danzig Scherer Hyland & Perretti LLP, where he also served on the firm’s executive committee for ten years. Andy began his legal career at Hannoch Weisman, P.C., becoming one of the firm’s youngest partners. Andy received his B.A. with honors from The University of Virginia, his J.D. from Cornell Law School, and a L.L.M. in Taxation from New York University.
