    For 15 years have served as primary outside counsel to a company that reinsures the business of hundreds of independent insurance agents who are its shareholders. Regularly advise the board of directors on corporate governance and periodic capital raising through 50-state private placements.

  • Represent Korean conglomerate on U.S. acquisitions

    U.S. counsel to a Korean frozen food, restaurant and entertainment conglomerate on U.S. acquisitions and general corporate issues.

    Advise a recognized big-data expert about executive compensation, separation arrangements, board appointments, equity awards, consulting arrangements and angel investments. 

  • Counsel a growing distributor

    Since representing a second generation industrial-container distributor in its first acquisition five years ago, have served as outside general counsel and advised on many leveraged acquisitions that extended its territory along the East Coast.

  • Serve as outside counsel to medical device company

    Served for 10 years as outside general counsel to a medical device company for day-to-day operations and a significant restructuring. Led a successful sale of its core product to an overseas pharma firm, then oversaw the company’s orderly and amicable liquidation.
